All fees for services provided by ROM Services Pty Ltd will be quoted in Australian Dollars (AUD) and are exclusive of GST unless otherwise stated. GST will be applied in accordance with the A New Tax System (Goods and Services Tax) Act 1999 (Cth). Payment terms will be specified in the relevant service agreement.
Unless otherwise agreed in writing, invoices issued by ROM Services Pty Ltd are due within 14 days of the date of issue. All invoices will include ROM Services Pty Ltd's ABN (95 695 998 924) as required under Australian tax law.
Late payments may incur interest at a rate of 2% per month on the outstanding balance. ROM Services Pty Ltd reserves the right to suspend services if payment is not received within the agreed timeframe.
Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) ("ACL") or any other applicable legislation that cannot be excluded, restricted, or modified by agreement.
Where our services are supplied to you as a consumer within the meaning of the ACL, you are entitled to the benefit of certain non-excludable consumer guarantees, including that services will be:
If ROM Services Pty Ltd fails to comply with a consumer guarantee under the ACL, you may be entitled to a remedy including compensation for any reduction in value of the services below the price paid.
All intellectual property rights in materials, documents, reports, and deliverables created by ROM Services Pty Ltd remain our property unless expressly transferred to the Client in writing. Upon full payment for services, the Client is granted a non-exclusive, non-transferable licence to use the deliverables for their intended purpose.
The Client retains ownership of all pre-existing intellectual property provided to ROM Services Pty Ltd for the purposes of delivering the services.
All content on the romservices.space website, including text, graphics, logos, and software, is the property of ROM Services Pty Ltd and is protected by Australian and international intellectual property laws.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement with ROM Services Pty Ltd. This obligation survives the termination of the service agreement and remains in effect for a period of five (5) years thereafter, unless the information becomes publicly available through no fault of the receiving party.
To the maximum extent permitted by Australian law, including the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)), ROM Services Pty Ltd's total liability to the Client for any claim arising out of or in connection with these Terms or our services shall not exceed the total fees paid by the Client to ROM Services Pty Ltd for the specific services giving rise to the claim.
ROM Services Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profit, loss of data, loss of business opportunity, or business interruption, regardless of the cause of action or theory of liability.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law or any other applicable legislation that cannot be excluded, restricted, or modified by agreement.
The Client agrees to indemnify, defend, and hold harmless ROM Services Pty Ltd (ABN 95 695 998 924, ACN 695 998 924), its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with the Client's breach of these Terms, negligence, or unlawful conduct.
Either party may terminate the service agreement by providing 30 days' written notice to the other party. ROM Services Pty Ltd may terminate the agreement immediately if the Client breaches any material term of these Terms or the service agreement and fails to remedy the breach within 14 days of receiving written notice.
Upon termination, the Client shall pay ROM Services Pty Ltd for all services rendered up to the date of termination. Clauses relating to intellectual property, confidentiality, limitation of liability, and indemnification shall survive termination.
Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to natural disasters, pandemics, government actions, industrial disputes, cyber-attacks, or utility failures.
Any dispute arising out of or in connection with these Terms shall first be resolved through good faith negotiation between the parties. If the dispute cannot be resolved within 30 days, the parties agree to submit to mediation administered by the Australian Disputes Centre (ADC) in Melbourne, Victoria, before pursuing any court proceedings.
Nothing in this clause prevents either party from seeking urgent interlocutory relief from a court of competent jurisdiction.
These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. Both parties irrevocably submit to the exclusive jurisdiction of the courts of Victoria and any courts entitled to hear appeals therefrom.
ROM Services Pty Ltd (ABN 95 695 998 924, ACN 695 998 924) is registered in Australia and operates subject to the laws of the Commonwealth of Australia and the State of Victoria.
